For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, I (“entrant”) hereby agree to the Assignment of Rights to Submissions outlined below:

ASSIGNMENT OF RIGHTS TO SUBMISSIONS: By submitting any deliverables, ideas, images, artwork, prints, drafts, work product, or any other information to Chicago Fire Football Club, LLC (“CFFC”) in connection with CFFC’s brand identity project (collectively, the “Work Product”), entrant hereby (i) represents and warrants to CFFC, Major League Soccer, L.L.C. (“MLS”), Soccer United Marketing, LLC (“SUM”), and each of their respective successors, assigns, licensees, and designees (collectively, the “MLS Parties”) that all of entrant’s Work Product is a wholly original work of entrant’s own authorship that has not been publicly released by entrant prior to submission herein, the Work Product does not violate any applicable laws or infringe upon any copyrighted material, trademark or other legal or intellectual property rights of any third party, and the Work Product submission will not give rise to any claims of infringement, invasion of privacy or publicity, or infringe on copyrights, trademarks, patents or other intellectual property rights or any rights or interests of any third party, or give rise to any claims for any payment whatsoever; (ii) upon such submission of Work Product to CFFC, irrevocably transfers and assigns to MLS all right, title and interest in and to the Work Product, including, but not limited to, all intellectual property rights and all copyright and registration rights, all renewal rights and extensions rights, each as the case may be, and the right to make all derivative works, reproductions or duplications thereof in any and all media, form, or medium now known or hereafter developed, worldwide in perpetuity, without notice or permission except where prohibited by law; (iii) grants to the MLS Parties the right, but not the obligation, to publish or publicize all or part of entrant’s name, portrait, image, and likeness (“Personality Rights”) in whole or in part, for advertising, promotional and trade or other purposes in conjunction with promotion of CFFC’s brand identity project and similar promotions in any and all media, form, or medium now known or hereafter developed, worldwide in perpetuity, without notice or permission and without further compensation, except where prohibited by law; (iv) acknowledges and agrees that, as a result of the foregoing assignment, the MLS Parties may use, publish, display, distribute, perform, reproduce, alter, modify, license, lease, sell or otherwise dispose of the Work Product in any manner, as determined by the applicable MLS Party in its sole discretion; (v) acknowledges and agrees that the MLS Parties shall receive and keep any and all earnings, profits, proceeds, and revenues of any kind whatsoever derived from the Work Product, without compensation to entrant; (vi) waives any moral rights in connection with the Work Product or any permitted uses of the Personality Rights, including without limitation the right to inspect, edit, or otherwise approve the manner and mode of use thereof, (vii) agrees not to challenge or otherwise interfere with MLS’s ownership and exploitation of rights in the Work Product or exploitation of the Personality Rights as permitted hereunder, and (viii) agrees to indemnify and hold harmless CFFC, MLS, and SUM and their respective members, owners, affiliates, successors, licensees, partners, shareholders, officers, directors, employees, agents (“Indemnitees”) from and against any third-party losses, demands, claims, and fees (including reasonable attorneys’ fees) arising out of or related to the Indemnitees’ use of the Work Product, the Indemnitees’ use of the Personality Rights as permitted hereunder, the truthfulness of entrant’s representations and warranties above, or entrant’s breach of any term of this Assignment of Rights to Submissions.  Entrant agrees to sign and agree to any further documentation as any MLS Party may deem necessary to give effect to or record any of the foregoing rights.
